MEMORANDUM OF SOCIETY

The Aims and Objects of the Society, for which the same is established, are as under:

i) To carry out medical research by engaging in research and development in the fields of medical sciences and all therapies of medical treatment so as to afford medical relief in a better way.

ii) To provide research facilities for carrying on research basic and applied in all systems and disciplines of medical and surgical knowledge keeping in view the socio-economic needs of the afflicted community.

iii) To found establish or take over, operate and to establish research institutions in all discipline of medical and surgical knowledge.

iv) To encourage and develop biological and pharmacological standardization of indigenous medicinal plants.

v) To encourage the discovery of new medical and/or surgical management of diseases and afflictions and to investigate and make known the nature and merits of investigations and findings and research in the said field and to acquire any patent and licences or other protective devices relating to the results of any discovery investigation findings or researchers and to acquire any processes upon such terms as to manufacture and distribute for charitable purposes of any product developed discovered or improved.

vi) To provide encourage initiate or promote facilities for the discovery improvement or development of new methods of diagnosis understanding and prevention and treatment of diseases.

vii) To conduct and to carry on experiments and medical research.

viii) To carry out the activities related to the research and development in the fields of medical science for the welfare of the mankind.

All the income, earning, movable & immovable properties of the society shall be solely utilized and applied towards of the promotion of its aims and objects as set for in the memorandum of association. No profit on thereof shall be paid or transferred directly by way of dividends, bonus, profits or in any manner whatsoever to the present or future members of the society or any person, through any one or more of the present of the future members. No member of the society shall have any personal claim on any movable or immovable properties of the society or make any profit whatsoever by this membership.

1. RULES & REGULATIONS:
i. NAME OF THE SOCIETY
The name of the society shall be �—————————————————-�
ii. Membership defined:
The membership of the Society is open to any person who attained years of age and has subscribed to the aims and objects of the Society subject to the approval of the Governing Body. The decision of the Governing Body in this regard shall be final and binding.
a) Founder-Members: Each of the seven signatories to the Memorandum of Association, who have founded the Society and are getting it registered.
b) Life Member: The Governing Body may admit any Indian aged eighteen years or more as a Life Member who donates Rs.5, 000/- to the Society or as may be decided by the Governing Body of the Society through the resolution from time to time and agrees to abide by the rules of the Society.
c) Annual Members: The Governing Body may admit any Indian aged eighteen years or more as an Annual Member who donates at least Rs.500/- to the Society and agrees to abide by the rules of the Society. The total number of Annual Members shall not exceed 25 at any time. Annual membership shall be for the current calendar year and may be renewed for the next calendar year by paying Rs.500/- before 31st January of the next year.
d) Honorary Members: The Governing Body may admit any eminent person and any other person as an Honorary Member. The total number of Honorary Members shall not exceed ten at any time. Honorary Membership, like Annual Membership, shall also be for the current calendar year and may be renewed by the EC for the next calendar year.

iii. Admission and Qualification for Membership:
The membership of the society shall be only for the ————————————————————.
iv. Subscription of the membership:
The admission fee and the subscription shall be as under unless otherwise revised by the Governing Body of the Society:
a) Admission Fee Rs.100/- at the time of admission.
B) Subscription Rs.500/- per year.

v. Appeal and re-admission of membership:
Any member, terminated from the membership of the society can be admitted on the filing of an appeal and agree to the terms and conditions of the society.

vi. Right and privileges of membership:
a. Shall be entitled to participate in any meetings, or in any cultural/educational functions and other gatherings, called/arranged by the Society.

b. have a right to inspect the Meeting Register of �the Society� after giving sufficient notice and after taking the permission of the Secretary upon giving a valid reason for the inspection of the said Register.

c. Any other right that may be added to the list from time to time by the Governing Body.

vii. Termination
The Membership can be terminated on the conduct of violation of the Rules and Regulations of the Society or for working against the interest of the society

2. GENERAL BODY
i. General body defined: The General Body of the members shall be the supreme authority of the Society in respect of all its activities and more particularly to decide on:
a) Amendments and additions to the memorandum of the society and these rules.
b) Selection or nomination of members of the Governing Body after the expiry of the term of the First Governing Body.
c) Approval with or without amendments of the annual report, the Annual Balance Sheet and the Income and expenditure, etc.
d) Collaboration or amalgamation of the Society with any other institution pursuing similar objects.
e) Dissolution of the Society and disposal of funds upon dissolution as mentioned.
f) To appoint auditors and fix their remunerations.
2. The Annual General Meeting shall be convened by the Governing Body regularly once a year within the three months following the end of the Society�s accounting year provided that for any reason if it be not practicable to convene the Annual General Meeting within the aforesaid period, the Governing Body shall have power to extend the date of such Annual General Meeting for a further period not exceeding three months but not more than 15 months shall elapse between the two Annual General Meetings.
3. The notice for the General Meeting shall be delivered through messenger or sent by post to the members of the Society, at least ten days period to the date of the meeting and at least five days in the case of an adjourned meeting. The notice must indicate the place, date and hour hereof, as well as the items of Agenda.
4. The General Meeting whether Annual or special shall not discuss or decide on any matter which is not included in the agenda, save and except with the permission of the President.
5. The quorum for the General Body Meeting shall be 1/3rd of the membership strength. In the event, such quorum is not present within half an hour of the time appointed for the meeting the General Meeting shall stand adjourned for one hour at the same place and at such adjourned meeting the members present shall constitute a quorum.
6. The decision of the General Body Meeting including the selection or nomination of the members of the Governing Body shall be final.
7. The General Body meeting shall be presided over by the President and in her absence by the Vice-President. The decision of the General Body Meeting shall be recorded in minutes, entered into a book maintained for the purpose duly signed by the President of the meeting.

ii. Power and duties/functions of the general bodies:
The General body of the society shall have all the powers, and any agenda can be decided by a majority of votes by the General Body.
iii. Notice of meeting and periodicity of meetings: The notice for the General Meeting shall be delivered through messenger or sent by post to the members of the Society, at least ten days period to the date of the meeting and at least five days in the case of an adjourned meeting. The notice must indicate the place, date and hour hereof, as well as the items of Agenda.

MANAGING / GOVERNING BODY/EXECUTIVE COMMITTEE
a. The members of the First Governing Body of the Society shall hold the office for three years. The Governing Body shall be composed and reconstituted from amongst the members of the Society after the expiry of the period of three years.
b. Member or an office-bearer of the Governing Body may resign by making a request address to the President or the Secretary of the Governing Body in that respect in writing before the expiry of his term.
c. Member who is an undischarged insolvent or who has been convicted of any offense in connection with the formation, management or of the affairs of the Society or any offense involving moral turpitude shall not be entitled to be a member or office bearer of the Governing Body.
d. In case of any vacancy in the Governing Body including the office-bearer, caused by the removal or disqualification under these rules or by death or by resignation of any member or office bearer during his term as a member or office bearer another member or office bearer may be appointed in his place and stead with the remaining members of the office-bearer of the Governing Body and such appointed member or office bearer shall hold the office only for the un-expired period of the said member�s or office bearer term. Member of the Governing Body shall be eligible for re-selection or re-nomination.
e. Minimum and maximum strength including office bearers: The maximum strength of the Governing Body shall be nine.
iii. Composition: The Governing Body shall include the elected members of the executives and the invitees who will have no right to vote.
iv. Election and its mode: The election of the Governing Body of the Society shall be done by raising of hands in the Annual General Meeting or any special meeting convened for the purpose.
v. The term of the office of the Governing Body: The term of the office of the Governing Body shall be two years.
vi. Powers and suits of the office bearers: The President shall enjoy following powers:-
a) The President shall guide and supervise the various activities of the society. He/she shall preside over the Governing Body and at the Annual General Meetings and other.
b) The President in case of emergency may exercises all the powers and perform all the functions required to be exercised and performed under the Rules and Regulations by the Governing Body provided always that all the action taken by the President shall be placed before the Governing Body in the next meeting immediately following the exercise of such powers and function by the President.
VICE – PRESIDENT
The Vice President of the Society shall enjoy all the powers of the President in the absence of the President.

SECRETARY
The Secretary shall be in-charge of all executive work of the Society. He shall keep records of the affairs of the society and issue calls for various meetings. He will act under the guidance, supervision, and advice from the President and the Governing Body. He will prepare proceedings of the meeting and get them approved by the President.
TREASURER
All funds of the Society shall remain under the care and management of Treasurer.
Treasurer shall maintain the accounts of all money which are received and paid by her on behalf of the society.
Treasurer shall make disbursement by the direction of Governing Body.
vii. Quorum and notice of the meeting: The quorum for the meeting shall be two-third of the office bearers, and the notice of the meeting can be given by any mode or displayed at the office of the society. There shall not be any quorum for adjourned meetings.

viii. Filling up of casual vacancies: Any contingent vacancies may be filled up by the Governing body by co-option or by election as per the requirements.

4. SUB-COMMITTEE, if any, Formation, Composition, duties, and functions: The Governing body can form a sub committee for any specific duties as assigned to it.

5. SOURCE OF INCOME AND UTILIZATION OF FUNDS: The source of income of the society shall be subscription and other activities as defined however the same shall be spent only by the method described in these bye-laws.

6. AUDIT OF ACCOUNTS: The accounts of the society may be audited annually by an outsider auditor.

7. OPERATION OF THE BANK ACCOUNT: A bank account of the society may be opened in any bank, the President, Secretary, Treasurer can open and operate the said account or delegate or appoint any other person to operate the said account on behalf of the society.

8. ANNUAL LIST OF MANAGING / GOVERNING BODY TO BE FILED: As required Under Section 4 of the Societies Registration Act, the list of Managing / Governing
The body shall be filed once in every year with the Registrar of Societies, Delhi.

9. SUITS BY AND AGAINST SOCIETY: Every society registered under this Act may sue or be sued in the name of the president, chairman, or principal secretary, or trustees, as shall be determined by the rules and regulations of the society and, in default of such determination, in the name of such person as shall be appointed by the governing body for the occasion.

Provided that it shall be competent for any person having a claim or demand against the society, to sue the president or chairman, or principal secretary or the trustees thereof, if on application to the governing body some other officer or person be not nominated to be the defendant.

10. ANY AMENDMENT in the memorandum of association of rules will be carried out by procedure laid down under section 12 and 12-A of the Society Registration Act,1860

11. DISSOLUTION AND ADJUSTMENT OF AFFAIRS: If the Society need to be dissolved it shall be dissolved as per provision laid down under section 13 and 14 of the Societies Registration Act, 1860 as applicable to Union Territory of Delhi shall
apply to this Society.

12. APPLICATION OF THE ACT: All the provision under all the section of the Societies Registration Act, 1860 as applicable to the Union Territory of Delhi shall apply to this Society.
